Job Details

Key Responsibilities:

  • Advise executive leadership and business stakeholders on legal, regulatory, and governance matters affecting domestic and international reinsurance operations.
  • Support corporate governance activities, including Board of Directors and committee meetings, corporate records, resolutions, governance policies, and shareholder communications.
  • Review, draft, and negotiate a wide variety of commercial agreements, including technology, software, consulting, vendor, and service contracts.
  • Provide legal guidance on emerging issues involving data privacy, cybersecurity, artificial intelligence, information governance, and technology-related risks.
  • Partner with Finance and Operations teams on financial disclosures, corporate transactions, strategic initiatives, and governance matters.
  • Assist with legal support for mergers, acquisitions, strategic investments, restructurings, and other corporate development activities.
  • Advise on employment-related matters, workplace policies, investigations, and compliance with applicable labor and employment laws.
  • Collaborate with Risk Management and Compliance teams to develop and strengthen internal controls, policies, and enterprise governance frameworks.
  • Oversee legal aspects of regulatory filings, licensing matters, and communications with insurance regulators and other governmental authorities.
  • Monitor legal and regulatory developments impacting the insurance and reinsurance industry and provide actionable recommendations to business leaders.
  • Develop and deliver legal training programs designed to promote compliance, mitigate risk, and support sound business decision-making.
  • Manage outside counsel relationships and legal spend as appropriate.

Qualifications:

  • Juris Doctor (J.D.) from an accredited law school.
  • Active license to practice law and member in good standing of at least one U.S. state bar.
  • 10+ years of legal experience, including significant in-house and/or law firm experience supporting insurance, reinsurance, financial services, or other highly regulated industries.
  • Strong knowledge of corporate governance, commercial contracting, regulatory compliance, and corporate transactions.
  • Experience advising businesses on privacy, cybersecurity, technology, and data governance matters preferred.
  • Familiarity with insurance holding company regulations, corporate regulatory filings, and interactions with insurance regulators is highly desirable.
  • Proven ability to balance legal considerations with practical business objectives.
  • Exceptional drafting, negotiation, analytical, and problem-solving skills.
  • Strong executive presence with the ability to influence and build relationships across all levels of an organization.
  • Demonstrated success managing multiple priorities in a fast-paced, entrepreneurial environment.

Preferred Experience:

  • Reinsurance, specialty insurance, carrier, MGA, or insurtech industry experience.
  • Experience supporting publicly traded companies or organizations with complex corporate governance requirements.
  • Exposure to international regulatory frameworks and cross-border transactions.
  • Experience advising on enterprise risk management and corporate compliance programs.
