General Counsel

POSITION WITHIN THE ORGANIZATION :

Reports to: Group Legal and Compliance Director

SUMMARY :

The General Counsel, in support of the Group legal and Compliance Director, develops the strategy to defend the company’s interests by:

• defining strategic priorities for the company;
• coordinating the network of future in-house legal counsel (if relevant) and external advisors across all U.S. subsidiaries.

RESPONSIBILITIES AND MAIN DUTIES

• Advising company management on all legal matters, particularly with regard to regulatory and case law developments;
• Ensuring compliance with corporate law ;
• Drafting and approving complex legal documents and contracts (purchase, sales, mergers…);
• Ensuring the implementation of regulatory requirements (anti-bribery, competition law, etc.);
• Lead the strategy for pre-litigation and litigation matters by assisting management in negotiations with third parties and representing the company in court, with the assistance of outside counsel as needed;
• Supervise a team of legal professionals by assigning them tasks in line with their job descriptions, support them in decision-making to help them advance in their careers, set annual objectives and participate in their annual evaluations and career development proposals;
• Select and oversee the assignments of attorneys and other external counsel, ensuring compliance with deadlines and allocated budgets;
• Present the Legal Department’s annual budget and projected budget for the following year.

REQUIRED KNOWLEDGE AND SKILLS

• Bar exam and legal privilege certification required;
• Significant experience in a similar corporate role required;
• Proficiency in or ongoing study of French and another foreign language

MAIN FUNCTIONAL REPORTING LINES

The General Counsel reports directly to the Group’s legal director and may be involved in cross-functional working groups. He or she must demonstrate the ability to take quick decisions and synthesize information, while being open to having his or her proposals regularly reviewed and challenged to ensure the success of the analysis. He or she will be on a daily basis exchanging with the CEO of Andros Foods USA and CEOs of its subsidiaries. He or she must also be able to listen to the challenges faced by the company’s various departments, translate these issues into legal terms, and then provide a practical and pragmatic solution easy to understand and implement.
